NDA Company

Lizenzbedingungen

English version below · Stand: 16. Oktober 2026

1. Was wir dir einräumen

3. Was erlaubt ist

4. Was nicht erlaubt ist

Sample License

This is a translation for convenience. In case of doubt, the German version above is the legally binding one. Last updated: 16 October 2026.

These samples are NOT royalty-free. You may use them in your own beats for free, but a 50/50 publishing split applies to every commercial release, with no exceptions and regardless of the size of the release. NDA+ members are covered by the more favourable rule in section 5a: sell your own beats freely and keep 100%, with a 50/50 split only on a major release (major label, or from 1M streams across all DSPs).

1. The license we grant

NDA Company grants you a non-exclusive, worldwide, free and revocable license to use the samples offered here (loops, melodies, one-shots) in your own new musical works (beats, instrumentals, songs) and to release such works subject to sections 4 and 5. Downloading and using them within this scope is free and requires no sign-up.

2. We keep the rights

All copyright and related rights in the samples remain fully with NDA Company and the producers involved. You receive only the license described in section 1, no ownership and no exclusive rights in the samples.

3. What is allowed

4. What is not allowed

4a. AI training and data mining expressly prohibited

The samples and all audio files we provide may not be used to train, develop or improve AI or machine-learning models (including generative audio and music models), neither in original nor in modified form, neither individually nor as a dataset. Automated harvesting, scraping and text-and-data-mining for that purpose are likewise prohibited.

We expressly reserve all text-and-data-mining rights (machine-readable reservation of use within the meaning of § 44b(3) of the German Copyright Act and Art. 4 of EU Directive 2019/790). Violations will be pursued and may result in substantial claims for injunctive relief and damages.

For each culpable violation of the prohibition in this section 4a, the user agrees to pay a contractual penalty of EUR 10,000. The right to claim further damages as well as injunctive relief and removal remains expressly reserved.

4b. Automated and bulk downloading prohibited

Access to the samples is intended for manual, personal use by an individual user. Regardless of purpose, the following are prohibited:

We may throttle, block or refuse access that violates this section and revoke the license under section 8. For each culpable violation of this section 4b, the user agrees to pay a contractual penalty of EUR 10,000; the right to claim further damages as well as injunctive relief and removal remains reserved.

5. Commercial release and the 50/50 split

What counts as a commercial release: any making available to the public, distribution or other exploitation of a work into which one of our samples has gone, which is aimed directly or indirectly at generating income. This includes in particular streaming and downloads via platforms (e.g. Spotify, Apple Music, YouTube including Content ID), sale as a download or physical record, monetised videos, sync licences (film, advertising, games), and any exploitation through a label, a distributor or a collecting society. Purely private, non-monetised use is not covered.

What the split covers: for every such release you grant NDA Company a 50% share of the publishing, that is, of the authors' and publishing rights in the composition. This covers the writer's share and the publisher's share as well as all income resulting from them (among others payouts from collecting societies such as GEMA, publishing payouts and sync fees), worldwide and for the statutory term of protection. The rights in your master recording stay with you; this share concerns the composition only.

5a. NDA+ members: different licence

For users with an active, paid NDA+ membership, the following more favourable rule applies instead of section 5. It covers only loops and the matching MIDI downloaded during an active membership; for free downloads outside a membership, section 5 still applies.

6. No warranty

The samples are provided "as is". To the extent permitted by law, we give no warranty that they are fit for a particular purpose or free of third-party rights.

7. Liability

We are liable without limitation for intent and gross negligence and under mandatory law. Otherwise liability is limited to foreseeable, contract-typical damage, to the extent permitted by law.

8. Revocation on breach

If you breach these terms, in particular section 4 or the reporting duty in section 5, we may revoke the license. You must then stop any further use and distribution of the samples concerned.

9. Governing law

German law applies. Provider and address for service: see our legal notice.

10. Changes

We may change these terms going forward. For a specific placement, the version agreed at the time of reporting applies. The "last updated" date above is decisive.
